1. Acceptance of Terms

These Terms of Use ("Terms") form a legally binding agreement between you and Quantigo AI Incorporated ("Recure," "we," "us," or "our") governing your access to and use of the Recure platform, website, and related services (collectively, the "Platform").

By creating an account, clicking to accept these Terms, or otherwise accessing or using the Platform, you agree to be bound by these Terms and all applicable laws and regulations. If you do not agree, you must not access or use the Platform.

If you use the Platform on behalf of a company, organization, or other legal entity, you represent and warrant that you have authority to bind that entity, and "you" includes both you and that entity.

These Terms, together with the Privacy Policy and any other policies expressly incorporated by reference, constitute the entire agreement between you and Recure regarding the Platform.

2. Eligibility

You may access or use the Platform only if: you are at least eighteen (18) years of age; you have the legal capacity to enter into a binding agreement under applicable law; and you are not prohibited from using the Platform under any applicable law or regulation.

By accessing or using the Platform, you represent and warrant that you satisfy these requirements.

3. Description of the Platform

Recure is an AI-powered dataset discovery and indexing platform. The Platform helps users search, discover, compare, and evaluate datasets from publicly available and third-party sources.

The Platform may provide: indexing and aggregation of dataset metadata; AI-generated summaries, classifications, rankings, recommendations, and quality indicators; search, filtering, and comparison tools; and links or references to third-party dataset providers, repositories, and websites.

Recure operates solely as an intermediary discovery and indexing service. Recure does not host, store, upload, sell, license, distribute, or control third-party dataset files. Recure is not the publisher or provider of third-party datasets and is not a party to any transaction or license between you and any dataset provider.

Recure does not independently verify or guarantee the accuracy, completeness, legality, ownership, provenance, licensing status, consent status, privacy compliance, regulatory status, or suitability of any dataset for machine learning, artificial intelligence training, benchmarking, research, commercial deployment, redistribution, or any other purpose.

Any summaries, rankings, recommendations, classifications, quality scores, or similar outputs generated by the Platform are automated, informational, and opinion-based outputs only. They do not constitute certification, legal advice, compliance advice, technical advice, or factual guarantees.

4. Account Registration and Security

To access certain features, you may be required to create an account. You agree to provide accurate, current, and complete information and to keep it updated.

You are responsible for maintaining the confidentiality of your login credentials and for activities conducted through your account to the extent resulting from your failure to safeguard your credentials or promptly notify Recure of suspected unauthorized access.

You must notify Recure promptly at [email protected] if you become aware of unauthorized access, credential compromise, or other account security issues.

If you choose to sign in through Google or another third-party identity provider, your use of that sign-in method is also subject to the terms and privacy practices of that provider.

Recure may suspend, restrict, or terminate accounts where reasonably necessary for security, legal compliance, fraud prevention, enforcement of these Terms, or protection of the Platform.

5. Acceptable Use

You agree to use the Platform only in compliance with these Terms and all applicable laws and regulations.

You may not, and may not permit others to: use the Platform for any unlawful, fraudulent, misleading, or harmful purpose; infringe, misappropriate, or violate the rights of any person or entity; scrape, crawl, extract, copy, mirror, republish, or systematically harvest Platform content or outputs at scale, including through bots, scripts, or automated tools; reverse engineer, decompile, disassemble, or attempt to derive the source code, structure, or underlying components of the Platform; interfere with, disrupt, or attempt unauthorized access to any part of the Platform or its systems; bypass or attempt to bypass security measures, rate limits, or access controls; introduce malware, harmful code, or other harmful material into the Platform; use the Platform or its outputs to build, train, benchmark, enrich, or operate a competing dataset discovery, ranking, or evaluation service without Recure's prior written consent; present Recure's summaries, rankings, recommendations, or quality scores as independent certifications, legal conclusions, or verified factual statements; or submit or transmit information through the Platform in a manner that infringes third-party rights or violates privacy, confidentiality, or contractual obligations.

Recure reserves the right to monitor use of the Platform for compliance, investigate suspected violations, and suspend or terminate access where misuse is identified.

6. Dataset Use and Responsibility

The Platform provides access to dataset metadata, summaries, scores, and links for informational and discovery purposes only.

All datasets accessible through the Platform are provided by third parties. Your access to and use of any dataset is governed solely by the terms, licenses, policies, and restrictions of the relevant third-party provider. Recure is not a party to any agreement between you and any dataset provider.

You are solely responsible for determining whether a dataset may lawfully be accessed, downloaded, scraped, licensed, trained on, fine-tuned on, benchmarked, commercialized, redistributed, or otherwise used for your intended purpose.

This includes responsibility for evaluating applicable intellectual property rights, database rights, privacy and data protection laws, publicity rights, contractual restrictions, export controls, sanctions, and source-platform terms.

Recure does not represent or warrant that any dataset is lawful, non-infringing, privacy-compliant, properly licensed, properly consented, or suitable for AI training, research, or commercial use.

You agree that you will not rely on the Platform as a substitute for legal, compliance, procurement, or technical due diligence when evaluating or using datasets.

8. Rights Holder Complaints and Listing Review

If you believe that a dataset listing, summary, metadata entry, score, or link on the Platform is inaccurate, unlawful, infringing, privacy-invasive, unauthorized, or otherwise objectionable, you may contact Recure at [email protected].

Recure may, in its sole discretion, investigate complaints and remove, disable, suppress, correct, or modify listings or related content pending review or following review.

Recure is not obligated to maintain any listing and may decline to restore content after review.

Submission of a complaint does not guarantee removal, restoration, or any particular outcome.

9. Intellectual Property

9.1 Ownership of the Platform — As between you and Recure, Recure and its licensors retain all right, title, and interest in and to the Platform, including its software, design, user interface, models, scoring methodologies, taxonomies, compilations, database structure, normalized data formats, AI-generated summaries, classifications, and quality indicators, as well as all related intellectual property rights. For clarity, Recure does not claim ownership of third-party datasets or of raw factual information as such.

9.2 Limited License — Subject to your compliance with these Terms, Recure grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Platform for internal evaluation, discovery, and research purposes.

9.3 Restrictions — You may not reproduce, distribute, republish, sell, sublicense, commercially exploit, or create derivative works from the Platform or Platform outputs except as expressly permitted by these Terms or with Recure's prior written consent.

9.4 Third-Party Datasets — All rights in third-party datasets remain with their respective owners or licensors. Nothing in these Terms grants you any right to use any third-party dataset except as permitted by the applicable third-party terms, licenses, and laws.

9.5 Feedback — If you provide feedback, suggestions, ideas, or recommendations regarding the Platform ("Feedback"), you grant Recure a worldwide, perpetual, irrevocable, royalty-free, transferable license to use, reproduce, modify, and incorporate that Feedback without restriction or obligation to you.

10. AI-Generated Content

The Platform may use automated systems, machine learning models, and other artificial intelligence technologies to generate content, including dataset summaries, classifications, tags, recommendations, rankings, and quality indicators.

You acknowledge and agree that AI-generated outputs may be inaccurate, incomplete, inconsistent, outdated, biased, or based on incomplete or changing source information. Such outputs may differ from how a dataset provider describes, licenses, or characterizes its dataset.

AI-generated outputs are provided for informational purposes only and do not constitute legal, compliance, procurement, technical, or other professional advice.

You are solely responsible for independently verifying any AI-generated output before relying on it.

11. Disclaimer of Warranties

To the maximum extent permitted by applicable law, the Platform is provided on an "as is" and "as available" basis, without warranties of any kind, whether express, implied, statutory, or otherwise.

Recure expressly disclaims all warranties, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement, and any warranties regarding: the accuracy, completeness, reliability, timeliness, or usefulness of the Platform or any content made available through it; the legality, availability, non-infringement, privacy compliance, licensing status, consent status, or suitability of any dataset, metadata, summary, score, or third-party source; whether any dataset may lawfully be used for AI training, research, commercialization, redistribution, or any other purpose; and uninterrupted, secure, or error-free operation of the Platform.

Your use of the Platform is at your sole risk.

12. Limitation of Liability

To the maximum extent permitted by applicable law, Recure and its affiliates, officers, directors, employees, contractors, and agents shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, business opportunities, goodwill, data, or business interruption, arising out of or relating to: your access to or use of, or inability to access or use, the Platform; any datasets, Third-Party Content, or external services accessed through the Platform; any reliance on metadata, summaries, rankings, recommendations, quality scores, AI-generated content, or other information provided by the Platform; or unauthorized access to or use of your account or data.

To the maximum extent permitted by applicable law, Recure's total aggregate liability arising out of or relating to these Terms, the Platform, and all related claims shall not exceed one hundred Canadian dollars (CAD $100).

Nothing in these Terms limits liability to the extent such liability cannot be excluded or limited under applicable law.

13. Indemnification

You agree to indemnify, defend, and hold harmless Recure and its affiliates, officers, directors, employees, contractors, and agents from and against any claims, demands, actions, proceedings, damages, losses, liabilities, costs, and expenses, including reasonable legal fees, arising out of or related to: your access to or use of the Platform; your use of any datasets or Third-Party Content accessed through the Platform; your violation of these Terms or any applicable law or regulation; your infringement or misappropriation of any intellectual property or other rights of any third party; or any content, data, or information you submit, transmit, or otherwise use in connection with the Platform.

Recure reserves the right, at its own expense, to assume the exclusive defense and control of any matter subject to indemnification by you, and you agree to cooperate fully in the defense of that matter.

14. Suspension and Termination

Recure may suspend, restrict, or terminate your access to the Platform, in whole or in part, at any time, with or without notice, where Recure reasonably believes that: you have violated these Terms; you have engaged in unlawful, fraudulent, harmful, or abusive conduct; your use poses a security, legal, or operational risk; or suspension or termination is required to comply with applicable law or legal process.

Upon suspension or termination, your right to access and use the Platform will immediately cease.

Recure may disable or delete your account and associated data, subject to applicable law, security needs, dispute resolution needs, audit needs, and internal retention practices.

15. Modifications to the Platform

Recure reserves the right, at any time and in its sole discretion, to modify, update, suspend, restrict, discontinue, or remove any part of the Platform, with or without notice, unless otherwise required by applicable law.

Recure does not guarantee that any specific feature, function, content item, listing, or dataset reference will remain available.

16. Changes to These Terms

Recure may update or modify these Terms from time to time.

When changes are made, Recure will revise the "Last Updated" date and post the updated Terms on the Platform. If changes are material, Recure may provide additional notice, including by email or through the Platform.

Your continued access to or use of the Platform after the effective date of updated Terms constitutes acceptance of the revised Terms.

17. Compliance with Laws

You agree to comply with all applicable laws, regulations, and legal requirements in connection with your access to and use of the Platform, including laws relating to intellectual property, privacy and data protection, export controls, trade sanctions, and use of data for artificial intelligence or machine learning purposes.

You represent and warrant that you are not located in, under the control of, or a resident of any country or region subject to applicable sanctions, and that you are not listed on any government list of prohibited or restricted parties.

18. Force Majeure

Recure shall not be liable for any delay or failure to perform its obligations under these Terms to the extent caused by events beyond its reasonable control, including natural disasters, war, terrorism, civil unrest, government action, internet or telecommunications failures, power outages, or failures of third-party providers.

19. Assignment

You may not assign, transfer, delegate, or otherwise dispose of these Terms or any of your rights or obligations under them without Recure's prior written consent.

Recure may assign, transfer, or delegate these Terms, in whole or in part, without restriction, including in connection with a merger, acquisition, sale of assets, restructuring, or assignment to an affiliate or successor entity.

20. Survival

Any provisions of these Terms that by their nature should survive termination or expiration shall survive, including provisions relating to intellectual property, AI-generated content, disclaimers, limitation of liability, indemnification, governing law, dispute resolution, and accrued rights and obligations.

21. Governing Law and Dispute Resolution

These Terms and any dispute, claim, or controversy arising out of or relating to these Terms or the Platform shall be governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law principles.

You agree that any legal action or proceeding arising out of or relating to these Terms or the Platform shall be brought exclusively in the courts located in Ontario, Canada, and you irrevocably submit to the exclusive jurisdiction of those courts.

To the extent permitted by applicable law, you agree that any claim must be brought in your individual capacity and not as a plaintiff or class member in any purported class or representative proceeding.
